This is the name we have given to our legal subscription service offerings. Generally, each allows us to provide certain services and ongoing support monthly in exchange for a fixed monthly payment. Specific service tiers offer different scopes of services and support for different prices. The engagement letter and counsel subscription fee agreement provided by the Firm to each client further defines the term as particular to their individual attorney-client relationships.
A Demo, or Demonstration, is a 30-minute virtual meeting for the purpose of evaluating whether a Counsel Subscription Tier is an appropriate solution to provide for a client's, or prospective client's, legal needs. No legal advice will be provided.
Expands "Contract Review" and "Forms Review" to include any documents the subscriber has received or generated for their own use.
Preparation of any legal documents not otherwise excluded from service. This may also include related and supporting documents which are not otherwise excluded.
"Forms" with a capital "F" refers to the fill-in-the-blank forms, guided interview forms, and other templatized resources the Firm makes available to the public on its website. Forms are not themselves a legal service or product. Free Forms are those the Firm makes available to the public at no charge, Premium Forms require payment for access.
Strategic consulting and discussion about the use and/or adaptation of any Forms for the Client's own use.
Creating customized versions of Forms for the Client to use. Does not include support for resale or contemplated derivative use.
Filling out any of Forms for the Client to use. Does not include execution. The Client will remain responsible for transmitting the document for signature, monitoring its completion, and maintaining any records. The Firm will provide related technical support to the Client only.
Full review, markup, discussion, and advising on suggested revisions for any Forms the subscriber has filled out for their own use.
Expands "Simple Q&A" to include any questions arising in the ordinary course of business without regard to time required or the form an answer is required in. Excludes substantive work product beyond what is required to deliver answers in the required form. Excludes substantive legal advice and/or representation in any matter before an adjudicative body. Excludes Opinion Letters.
The Firm will answer simple questions that do not require extensive research or complex considerations. As a rule of thumb, these questions should not require more than thirty (30) minutes to answer, or formal work product. Excludes legal advice and/or representation in any matter before an adjudicative body.
The Firm will answer a legal question in the form of a formal legal opinion which may be relied upon by third parties other than the Client.
The Firm will source, engage, and liaise with outside counsel on behalf of the Client. Additionally, the Firm will work directly with outside counsel with respect to all other work we perform for the Client.
Consulting and discussion regarding legal and business aspects of strategic changes the subscriber is contemplating making to their business. Does not include additional substantive research or work product.
Expands "Transaction Support" to full-service representation of the Client in any transaction not otherwise excluded.
Research, review, counsel, and other miscellaneous tasks necessary to assist the Client with any transaction. Excludes representation of the Client in the transaction. Excludes substantial non-standard work product.
Our comprehensive "Audit" engagement is a structured 6-to-8-hour process designed to thoroughly evaluate a prospective new matter. The four phases are: an initial consultation, in-depth research and review, preparation of a report, and a debriefing meeting. The purpose of the Audit is to gather sufficient information to develop satisfactory alternative pricing quotes, such as flat fee, contingency, and hybrid structures, ensuring transparency and alignment of expectations for both parties.
Exclusive to existing clients, these one-hour meetings can be used for any purpose, including substantive legal work. The focus is on reviewing ongoing services and coordinating future legal actions to ensure alignment with client goals.
These 30 to 60-minute sessions are designed to exchange information and determine appropriate next steps. No substantive legal work will be performed. Available to prospective clients and existing clients exploring new matters.
Services described as "free" do not count against the Monthly Soft Cap.
